Franchise Terms and Conditions

1. The company principally authorizes only one franchisee in each city, county, town, or shopping centre.

2. The franchise rights are granted by the headquarters to the franchisee within a designated area. The franchisee enjoys exclusive rights to operate specialty shops/counters selling "Old Cobbler" brand footwear and leather goods within their territory.

3. The headquarters or branch offices are responsible for assisting with location selection and market research for specialty shops.

4. All "Old Cobbler" specialty shops and shop-in-shops must strictly follow the headquarters' VI (Visual Identity) system to maintain brand image consistency.

5. Renovation costs (including display shelves, crystal lettering, and backdrop images) are shared by headquarters, provincial branch offices, and franchisees. Design services are provided free of charge by the company.

6. Branch offices provide promotional brochures, advertising DVDs, posters, and banners free of charge.

7. "Old Cobbler" brand specialty shops must strictly adhere to unified regional market prices and may not arbitrarily raise or lower prices to maintain brand credibility, except during end-of-season unified promotions.

8. To enhance sales service management in "Old Cobbler" brand specialty shops, franchisees should regularly report significant operational issues to the company or branch offices for timely assistance.

9. The company or branch offices shall regularly assist specialty shops in developing business strategies, improving shopping environments, establishing logistics management plans, organizing promotional activities, and conducting staff training.

10. To standardize market operations and achieve chain store uniformity, cooperation shall commence upon contract signing, with mutual support and flexible operations encouraged within contractual bounds.
